THE ROLE
Applications are sought from experienced Paralegal to join the team at Ora Banda.
This position will be involved in a mix of monthly board sitting, regular committee meetings and a variety of ad hoc and ongoing tasks. Providing end-to-end support across a range of legal, governance and board administration functions, including:
- Coordinating board and committee meeting logistics, scheduling, agendas and materials
- Assisting with preparing draft documents, including Board meeting agendas, minutes of meeting, action lists, and corporate governance documents such as board and committee charters and policies
- Tracking and following up on action items and resolutions from meetings
- Supporting compliance with the ASX Listing Rules, Corporations Act, and broader regulatory obligations, including drafting ASX / ASIC forms
- Maintaining registers relating to material contracts and corporate governance matters, other corporate records and board portal systems (e.g. Diligent)
- Assisting with instructing the Companys Share Registry and reconciling information with corporate records
- Assisting with admin tasks across the Legal & Company Secretariat function, including coordinating signing of documents
ABOUT YOU
To be considered for the role, you will have the following qualifications, skills and experience:
- 35 years experience in a governance, legal or executive support role in an ASX-listed environment
- Strong attention to detail and confidence with managing sensitive information
- Strong administrative capabilities, highly organised and efficient
- Excellent written and verbal communication skills and a high level of professional discretion
- Someone who is driven to gets things done and fits seamlessly into a small professional team,
- Solutions orientated and proactive
- Good judgment and decision-making capability, who thrives working independently, when required
- Familiarity with board processes and governance frameworks
- Familiarity with ASX Listing Rule regulatory requirements
- Proficiency in Microsoft Office and excel, and experience with board platforms such as Diligent and document management systems such as M-files
- Experience with reviewing and summarising commercial contracts and/or tenement related agreements such as royalty agreements and tenement sale agreements
