About the role

We are delighted to announce that we are inviting applications for a part-time Assistant Company Secretary role. This is an exciting opportunity for a detailed-orientated and proactive professional to join our Company Secretariat team on a three-day-per-week basis, supporting corporate governance and administrative functions in a dynamic and collaborate environment.  

As a key figure in Oricas governance framework, you will play a critical role in upholding the highest standards of corporate governance, compliance, and legal requirements. Youll work closely with the Deputy Company Secretary to support the Board and its Committees, ensuring compliance with statutory and regulatory obligations.  

To succeed in this role, you’ll bring experience in corporate governance or assistant company secretarial roles, a problem-solving mindset, and strong administrative skills. This is a fantastic opportunity to contribute to a market-leading global organisation. 

What you will be doing

  • Assist with Board and Board Committee meeting preparation, coordination and close-out processes;
  • Support the lodgement of ASX announcements on ASX Online (including preparation of routine filings) and regulatory filings for Orica Limited;
  • Assist with the management of dividend and dividend reinvestment plan process and filings;
  • Assist with the preparation and co-ordination Annual General Meeting, and secretariat input for Annual Report;
  • Assist with maintenance of the Restricted Persons list and issue share dealing blackout notifications to Restricted Persons every 6 months;
  • Maintain the Orica Group Secretariat – Assistant Company Secretary Handbook and Company Secretariat compliance calendar;
  • Upload and maintain Group Policies on Controlled Documents portal;
  • Provide secretarial input and support for Group transactions as requested;
  • Manage the co-ordination of document execution in accordance with Delegations Framework, including document authentication / legislation;
  • Under guidance of Senior Assistant Company Secretary, assist with Subsidiaries / Joint Venture management including co-ordination of regulatory filings for Australian.

What you will bring

  • 5 years of experience in a company secretarial or governance role, ready to bring their expertise to a dynamic environment;
  • Possess a deep understanding of corporate governance principles, statutory obligations, and regulatory requirements;
  • Strong interpersonal and communication skills, with the ability to collaborate effectively with Board Members, executives, and external stakeholders;
  • Proficient in Microsoft Office and company secretarial software, ensuring smooth and efficient workflow management.
